Pindrop Acceptable Use Policy

Carrier partners used to provide some of the backend infrastructure for our products and services (the “Pindrop Products”) require compliance by us and our customers with an acceptable use policy with respect to the content that may traverse their networks in connection with our delivery of Pindrop Products to you (the “Telco Networks”). This Acceptable Use Policy (this “AUP”) describes those use restrictions. The examples described in this AUP are not exhaustive. We may modify this AUP at any time, if required to comply with the carrier partner requirements, and would provide you with written notice of any such updates (email is sufficient). You agree to be bound by the latest version of this AUP and to remain responsible for your users. If you or your users violate this AUP or authorize or help others to do so, we may suspend or terminate your use of the Pindrop Products as contemplated in the agreement(s) between Pindrop and your company.
No Illegal, Harmful or Offensive Use or Content
You may not use, encourage or promote, facilitate or instruct others to use, the Telco Networks for any illegal, harmful, fraudulent, infringing or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, fraudulent, infringing or offensive. Prohibited activities or content include, but are not limited to:
• Illegal, harmful or fraudulent activities. Any activities that are illegal or otherwise violate any applicable law, court order, ordinance, regulation or administrative rule, that violate the rights of others, or that may be harmful to others, our operations or reputation, including disseminating, promoting or facilitating child pornography, offering or disseminating fraudulent goods, services, schemes, or promotions, make-money-fast schemes, ponzi and pyramid schemes, phishing, or pharming.
• Infringing Content. Content that infringes or misappropriates the intellectual property rights, proprietary rights, privacy or publicity rights of Pindrop or any individual, group or entity.
• Offensive Content. Content that is defamatory, obscene, abusive, invasive of privacy, or otherwise objectionable, including content that relates to bestiality, or depicts non-consensual sex acts, or that harasses or threatens the health or safety of others or which espouses, promotes or incites bigotry, hatred or racism.
• Harmful Content. Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.
• Failure to Abide by Third Party Policies. Violating the rules, regulations, or policies that apply to any third-party network, server, or computer database that you access.
No Security Violations
You are responsible for ensuring and maintaining security of your systems and the machines that connect to and use the Pindrop Products, including implementation of necessary patches and operating system updates.
You may not use the Telco Networks used for or with the Pindrop Products to violate the security or integrity of any network, computer or communications system, software application, or network or computing device (each an “In-Scope System”). Prohibited activities include:
• Unauthorized Access. Accessing or using any In-Scope System without permission, including attempting to probe, scan, or test the vulnerability of an In- Scope System or to breach any security or authentication measures used by an In-Scope System.
• Interception. Monitoring of data or traffic on an In-Scope System without permission.
• Falsification of Origin. Forging TCP-IP packet headers, e- mail headers, or any part of a message describing its origin or route. The legitimate use of aliases and anonymous remailers is not prohibited by this provision.
Failure to take reasonable security precautions to help prevent violation(s) of this AUP is a violation of this AUP.
No Network Abuse
You may not make network connections to any users, hosts, or networks unless you have permission to communicate with them. Prohibited activities include:
• Monitoring or Crawling. Monitoring or crawling of an In- Scope System that impairs or disrupts the In-Scope System being monitored or crawled.
• Denial of Service (DoS). Inundating a target with communications requests so the target either cannot respond to legitimate traffic or responds so slowly that it becomes ineffective.
• Intentional Interference. Interfering with the proper functioning of any In- Scope System, including any deliberate attempt to overload a system by mail bombing, news bombing, broadcast attacks, or flooding techniques.
• Operation of Certain Network Services. Operating network services like open proxies, open mail relays, or open recursive domain name servers.
• Avoiding System Restrictions. Using manual or electronic means to avoid any use limitations placed on an In-Scope System, such as access and storage restrictions.
Your Responsibilities
You remain solely and fully responsible for (a) the content of any material posted, hosted, downloaded/uploaded, created, accessed or transmitted over the In- Scope Systems; and (b) for taking prompt corrective action(s) to remedy a violation of this AUP and to help prevent similar future violations.
AUP Monitoring and Enforcement
We reserve the right, but do not assume the obligation, to investigate any violation of this AUP or misuse of the In-Scope Systems. We may:
• investigate violations of this AUP or misuse of the In-Scope Systems; or
• remove, disable access to, or modify any content or resource that violates this AUP or any other agreement we have with you for use of the Pindrop Products.
Our carrier partners may report any activity that they suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Our carrier partners’ reporting may include disclosing appropriate customer information. We and our carrier partners also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this AUP.
